Scope. These Terms of Service ("Terms") govern your access to and use of all of Lynote's products and services (collectively, the "Services"), across two product lines operated by one company under one shared login account:

  • (A) The Consumer App — the Lynote AI learning assistant, including AI-powered summarization and content-processing tools and the media processing/download tools, accessible at lynote.ai and associated applications; and
  • (B) The Lynote AI API and Developer Console — our paid developer API providing the AI Detector and AI Humanizer capabilities (text in, text out), together with the associated web-based developer console for account, key, usage, and billing management.

Except where a section expressly states that it applies only to a specific product line, these Terms apply to both. Where a subsection is marked "(API)" or "(Consumer)," it applies specifically to that product line. Our Privacy Policy is a separate companion document explaining how we collect, use, disclose, and protect personal data; it is incorporated into these Terms by reference and cross-references the arbitration and dispute-resolution provisions in Section 12. By accessing or using any of the Services, you agree to be bound by these Terms.


1. Description of the Service

Lynote provides an AI-powered suite of products for learning, content processing, and text analysis:

1.1 Consumer App. An AI-powered suite for learning and content processing, including an AI assistant that generates summaries from various content formats, and media processing tools that process publicly available content from third-party platforms strictly for personal, non-commercial, or fair-use purposes, subject to the limitations in Section 5.

1.2 Lynote AI API and Developer Console. A paid developer API offering two text-only capabilities:

  • AI Detector — analyzes plain-text input and returns a probabilistic estimate of the likelihood that the text was AI-generated; and
  • AI Humanizer — transforms plain-text input into revised plain-text output.

Both API capabilities accept plain text as input and return plain text as output. The API is accessed programmatically using Bearer-token authentication with an API key. The Developer Console is a web interface for managing your account, API keys, usage, plans, credits, and billing.

We may add, modify, or discontinue features across either product line as described in Sections 2, 9, and 11.


2. Service Evolution & Credit Economy

2.1 Beta Features. Some features are offered in Beta. Features, usage limits, and pricing are subject to change at our sole discretion, and early-adopter allocations are not guaranteed to persist.

2.2 Consumer Dynamic Credit System (Learning Credits). The Consumer App uses a credit-based system for AI generation ("Learning Credits," 学习币). For the Consumer App, 1 Learning Credit = 10 words. We reserve the right, at our sole discretion, to define and update the credit "exchange rate" per task. Modifications apply immediately to all users.

2.3 API Credit Model. The Lynote AI API uses a separate credit system:

  • Unit of measurement: 1 credit = 1 word. For languages written in Chinese, Japanese, or Korean scripts (CJK), 1 character = 1 credit.
  • Billed on input: Credits are consumed based on the input submitted to the API. Both the AI Detector and AI Humanizer endpoints draw from a single shared credit budget on your account.
  • Monthly reset with carryover and packs: Plan credits reset on your monthly billing cycle. Unused plan credits and separately purchased credit packs may carry over as described in Section 7. Credit packs are valid for 12 months from purchase.
  • Credit lifecycle (pre-authorize → commit → refund): When you submit a request, we pre-authorize the estimated credits required. On successful completion, credits are committed (deducted). If a request fails due to an error on our side, the pre-authorized credits are refunded to your balance.

2.4 Boundary Between the Two Credit Systems. The Consumer App's Learning Credits (学习币, 1 credit = 10 words) and the API's credits (1 credit = 1 word; CJK 1 character = 1 credit; billed on input) are two independent systems. They are non-interchangeable, non-transferable, and non-carry-over between product lines. Credits in one system have no value in, and cannot be converted to, the other.


3. User Accounts

3.1 Eligibility and Account Responsibility. You represent and warrant that you are at least 13 years of age, or such higher minimum age as required by applicable law in your jurisdiction (including 16 in certain EEA member states where applicable), and that all information you provide is accurate. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. One shared login account governs your access to both product lines.

3.2 API Key Responsibility (API). If you use the Lynote AI API, you are issued one or more API keys. You must keep your API keys secret and secure. You must not share, publish, or resell your API keys. All activity conducted under your API key or account is your responsibility, whether or not you authorized it. If you believe a key has been compromised, you must revoke and rotate it via the Developer Console and notify us at support@lynote.ai.


4. User Content & AI Output

4.1 Ownership (unchanged). You retain ownership of the data and content you provide ("User Content"). Lynote assigns to you all of its rights, title, and interest in the AI-generated output produced based on your User Content (the "Output"). You are responsible for ensuring that your User Content and your use of the Output do not violate the rights of any third party.

4.2 License & Data Processing. You grant Lynote a worldwide, non-exclusive, royalty-free license to use your User Content solely as necessary to provide, operate, secure, and maintain the Services for you. This license does not permit us to use your User Content to train, develop, or enhance our AI models except with your explicit, opt-in consent.

Unified No-Training Red Line (applies to both product lines). We do not use your User Content — whether Consumer App content or API input or output — to train our AI models by default. We do so only with your explicit, opt-in consent. Training is OFF BY DEFAULT for all enterprise and API usage. You may withdraw your consent at any time. We may use aggregated, anonymized usage statistics (for example, request volumes and error rates) to operate, secure, and analyze the Services, but we do not use such statistics to train our AI models unless you have opted in.

4.3 Prohibited Conduct. You may not:

  • (a) use the Services for any unlawful purpose;
  • (b) infringe the intellectual property rights of Lynote or any third party;
  • (c) reverse engineer, decompile, or attempt to discover the underlying models, weights, or source of our AI systems;
  • (d) use bots, scripts, or automated means to bypass usage limits;
  • (e) bypass or circumvent technical protection measures on any third-party platform;
  • (f) (API) attempt to bypass, evade, or circumvent API rate limits, concurrency limits, or credit quotas, or otherwise abuse the pre-authorize/commit/refund credit lifecycle; or
  • (g) use the AI Humanizer or any Output to misrepresent the authorship or origin of content, to evade academic-integrity or plagiarism-detection systems, or to produce misleading, deceptive, or fraudulent content.

5. Copyright Compliance & Media Processing (Consumer)

This Section applies to the Consumer App's media processing tools.

  • (a) The Service processes publicly available content only upon your request. Lynote does not host, store, or distribute copyrighted media; you are the sole initiator of any processing.
  • (b) You must verify that you have the legal right to process the content in question (through ownership, license, public domain status, or Fair Use), and that your use does not violate the terms of service of any third-party platform.
  • (c) You must not use the Service to circumvent, bypass, or defeat any technical protection measure, access control, or DRM on any third-party platform.
  • (d) You assume full responsibility for the legal consequences of your use, and you agree to indemnify and hold Lynote harmless from any resulting claims.
  • (e) Lynote responds to notices of claimed infringement under Section 6 and, in appropriate circumstances, will terminate the accounts of repeat infringers.

6. DMCA Copyright Policy

Lynote respects intellectual property rights. If you believe your copyrighted work has been used in a way that constitutes infringement, please send notices to support@lynote.ai.


7. Subscription, Billing, and Refunds

7.1 Consumer Subscriptions & Renewals. Consumer subscriptions renew automatically unless canceled at least 24 hours before the renewal date via your account settings.

7.2 API Plans (API).

  • Tiers. The Lynote AI API is offered in paid subscription tiers. Each tier includes a monthly credit allocation and applicable rate limits. Current tiers and pricing are shown in the Developer Console and are subject to change as described in Sections 2 and 9.
  • Free trial. A free trial is available and requires a valid payment card. The trial provides 500 credits valid for 3 days, limited to one trial per account and per payment card.
  • Upgrades. Plan upgrades take effect immediately and are charged at the full price of the new plan. Any leftover credits from your prior plan are moved into a carryover bucket and remain available subject to their applicable validity period.
  • Downgrades. Plan downgrades are scheduled to take effect at your next renewal date.
  • Credit packs. Separately purchased credit packs are valid for 12 months and do not increase your rate limits.

7.3 API Rate Limits (API). API usage is subject to rate limits enforced per account, expressed as requests per minute (RPM) and a maximum number of concurrent requests. Both the AI Detector and AI Humanizer endpoints share a single rate-limit budget per account. In addition, each request is subject to a maximum input size of 5,000 words per request. Credit packs do not raise these limits.

7.4 Refund Policy. All paid subscription and API fees are non-refundable. Refunds for severe, verified technical issues may be granted at our sole discretion. Dissatisfaction with Output, with detector or humanizer results, or with credit-rate changes does not constitute a technical issue. Where you are entitled to an EU right of withdrawal that has not been expressly waived upon accessing digital content, that right is preserved to the extent required by applicable law.

7.5 Payments. Payments are processed by a third-party payment processor. We do not store full payment card numbers.


8. AI Content Disclaimer

8.1 General. AI systems may produce inaccurate information ("hallucinations"). We do not guarantee the accuracy or reliability of any AI-generated content, and we are not liable for academic, professional, or other consequences arising from your reliance on it.

8.2 AI Detector (API). AI Detector results are probabilistic estimates only and are not proof of authorship. A result indicating that text is or is not likely AI-generated is an estimate and may be incorrect. You must not treat detector results as conclusive, and you are solely responsible for any decisions or actions taken based on them.

8.3 AI Humanizer (API). AI Humanizer output is provided without any guarantee of a particular outcome. We do not guarantee that output will, or will not, be identified, flagged, or classified by any third party, system, detector, institution, or process. You are solely responsible for how you use any Output, including compliance with academic and professional integrity requirements and all applicable rules and laws. You must not use the AI Humanizer or its Output to misrepresent authorship, evade academic-integrity or plagiarism-detection systems, or otherwise deceive or mislead any person or system. Lynote may suspend or terminate accounts that use the Humanizer for such purposes.


9. Disclaimer of Warranties

The Services are provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, express or implied.

9.1 Consumer. Third-party platforms may update their technical measures in ways that render Consumer App features non-functional. We disclaim liability for any such interruptions.

9.2 API. API endpoints, parameters, and limits may change over time, and we will provide reasonable notice of material changes where practicable. We do not guarantee any specific level of uptime, availability, or performance beyond the terms of a separate service-level agreement (SLA), if any, that we have expressly agreed to in writing with you.


10. Limitation of Liability

To the maximum extent permitted by law, Lynote shall not be liable for any indirect, incidental, special, or consequential damages. Lynote's total aggregate liability arising out of or relating to the Services or these Terms shall not exceed the amount you paid to Lynote in the 12 months preceding the event giving rise to the claim.


11. Termination & Changes to Terms

11.1 Termination. We may suspend or terminate your account immediately, at our sole discretion, for any reason, including violation of these Terms.

11.2 API Suspension (API). In addition, we may suspend or throttle your API access for abuse, exceeding rate limits or quotas, or non-payment. Upon suspension or termination for such reasons, unused API credits (including plan credits, carryover, and credit packs) may be forfeited and are non-refundable, except where prohibited by applicable law.

11.3 Changes to Terms. We reserve the right to modify this agreement at any time. Changes are effective immediately upon posting unless otherwise stated. Your continued use of the Services after changes are posted constitutes acceptance of the revised agreement.


12. Governing Law & Dispute Resolution

This agreement is governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to this agreement or the Services shall be resolved by binding, individual arbitration.

YOU AGREE TO WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

This governing-law and dispute-resolution provision (including the binding individual arbitration requirement and the class-action waiver) applies to these Terms and to any dispute arising out of or relating to our Privacy Policy, which cross-references and incorporates this Section 12.

Nothing in this Section limits or excludes any right that you may have under applicable law and that cannot lawfully be waived or subjected to mandatory arbitration — including, for consumers and data subjects in the EEA and the UK, the right to lodge a complaint with a supervisory authority, to seek a judicial remedy in their country of residence, and to participate in representative or collective redress mechanisms to the extent provided by applicable law; similar mandatory local rights in other jurisdictions (including Mainland China, if the Services are offered there) are likewise preserved. To the extent this arbitration provision or class-action waiver is held unenforceable as to any claim, that claim shall be resolved in the courts required by applicable law.
